COCOO.UK – TERMS AND CONDITIONS OF MEMBERSHIP

1. Introduction & About Cocoo.uk
1.1. Welcome to Cocoo.uk (“Cocoo”, “we”, “us”, “our”). Cocoo.uk is a Charity registered in England and Wales with Charity Number 1139020. Our registered office is at 23 Village Way, Beckenham, BR33NA
1.2. Our mission is to investigate potential widespread issues affecting consumers and/or businesses (“Affected Parties”) and, where appropriate, to seek collective redress and pre-litigation settlement awards on their behalf from responsible entities (“Opposing Parties”).
1.3. These Terms and Conditions (“Terms”) govern your membership with Cocoo.uk and the use of our services and website (cocoo.uk). By becoming a member, you agree to be bound by these Terms.
2. Definitions
2.1. “Member”: An individual or entity that has registered with Cocoo.uk.
2.2. “Case”: An investigation initiated by Cocoo.uk into a potential widespread issue.
2.3. “Potential Claim”: A possible legal claim that an Affected Party may have in relation to a Case.
2.4. “Personal Data”: As defined in the UK General Data Protection Regulation (UK GDPR) and Data Protection Act 2018.
2.5. “Sensitive Data”: Personal Data of a more sensitive nature, as defined under UK GDPR (e.g., health information, if relevant to a claim).
3. Purpose of Membership
3.1. Membership allows individuals and businesses who believe they may have been affected by an issue Cocoo.uk is investigating, or may investigate, to:
a. Register their interest in a specific Case or potential future Cases.
b. Provide information and data to assist Cocoo.uk in assessing their eligibility to be part of a group seeking redress in a Case.
c. Receive updates and information from Cocoo.uk regarding relevant Cases and potential settlement opportunities.
d. Be considered for inclusion in litigation, arbitration and pre-litigation negotiations facilitated by Cocoo.uk
4. Membership Eligibility & Criteria
4.1. To become a Member, you must:
a. Be aged 18 or over, or be a duly authorised representative of a business entity.
b. Genuinely believe you (or the entity you represent) may have been affected by an issue that Cocoo.uk is investigating or is relevant to Cocoo.uk’s charitable objectives.
c. Provide accurate and truthful information during the registration process and in all subsequent communications with Cocoo.uk.
d. Agree to these Terms and our Privacy Policy.
4.2. Specific criteria for participation in any particular Case or settlement effort will be determined by Cocoo.uk based on the facts of that Case and communicated to relevant Members.
5. How to Become a Member
5.1. You can apply for membership by completing the registration form on our website.
5.2. During registration, you will be asked to provide Personal Data and to explicitly consent to our Privacy Policy and these Terms. For specific Cases, you may be asked for further explicit consent to process your data for the purpose of assessing your eligibility and pursuing pre-litigation resolution.
6. Nature of Membership
6.1. Membership is free of charge.
6.2. Membership is conditional upon ongoing compliance with these Terms and our Privacy Policy. Cocoo.uk reserves the right to refuse or terminate membership at its discretion, for reasons including but not limited to provision of false information or actions contrary to the objectives of Cocoo.uk or a specific Case.
7. What Cocoo.uk Expects from Members
7.1. Members are expected to:
a. Provide accurate, complete, and truthful information to Cocoo.uk to the best of their knowledge, acting in good faith.
b. Update Cocoo.uk promptly of any changes to their contact details or information relevant to a Case.
c. Cooperate with Cocoo.uk in its investigations and efforts to achieve pre-litigation settlements. This may include providing documents, evidence, or other forms of “support” as reasonably requested by Cocoo.uk in relation to their Potential Claim.
d. Maintain confidentiality regarding non-public information shared by Cocoo.uk about Cases or settlement negotiations, where specified.
8. What Members Can Expect from Cocoo.uk
8.1. Cocoo.uk will:
a. Use its resources to investigate potential widespread issues.
b. Identify potential Affected Parties and advertise for individuals or businesses who meet the criteria for a Case emerging from our own investigations to join as Members.
c. Assess the information provided by Members to determine their potential eligibility for inclusion in a group seeking redress.
d. Keep Members informed of relevant significant developments in Cases they are registered for, where appropriate and practical.
e. Facilitate pre-litigation discussions and negotiate settlement awards with Opposing Parties on behalf of a group of Affected Parties.
f. Handle all Personal Data in accordance with our Privacy Policy and applicable data protection laws.
8.2. Cocoo.uk is exempt from registration with the Financial Conduct Authority (FCA). We do not provide financial advice or services that would require such registration.
9. Role of Cocoo.uk & Disclaimers
9.1. Cocoo.uk acts as a UK charity. Our primary role is to investigate, to identify Affected Parties, and to facilitate potential pre-litigation group settlements.
9.2. No Guarantee: Membership with Cocoo.uk or registration of interest in a Case does not guarantee:
a. That Cocoo.uk will pursue any particular Case to a settlement.
b. That any settlement will be achieved.
c. That any Member will receive a financial award or any specific outcome.
d. That legal proceedings will be initiated.
9.3. Not Legal Advice (General Membership):
a. Cocoo.uk employs an in-house solicitor who provides legal advice to Cocoo.uk as a charity.
b. General membership with Cocoo.uk and the provision of information by us does not, in itself, constitute legal advice to you as an individual or business, nor does it create a solicitor-client relationship between you and Cocoo.uk or its in-house solicitor.
c. You may seek independent legal advice regarding your specific circumstances if you require it.
9.4. Cocoo.uk is not a Claims Management Company (CMC) as defined by the FCA. Our activities are primarily focused on pre-litigation resolution based on our own investigations, within our charitable objects.
10. Data Protection and Privacy
10.1. Cocoo.uk is committed to protecting your privacy. We are registered as a data controller with the Information Commissioner’s Office (ICO), Registration reference: ZB897863
10.2. All Personal Data you provide to us will be handled in accordance with our Privacy Policy which forms part of these Terms.
11. Intellectual Property
11.1. All content on the Cocoo.uk website, including text, graphics, logos, and software, is the property of Cocoo.uk or its licensors and is protected by copyright and other intellectual property laws.
11.2. You may access and use the content for personal, non-commercial use in connection with your membership but may not otherwise reproduce, distribute, or modify it without our prior written consent.
12. Limitation of Liability
12.1. Cocoo.uk will carry out its activities with reasonable care and skill.
12.2. To the extent permitted by law, Cocoo.uk shall not be liable for any indirect or consequential loss or damage, or for any loss of profit, revenue, or data, arising out of or in connection with your membership or reliance on information provided by Cocoo.uk (save for that which cannot be excluded by law, such as for death or personal injury caused by our negligence).
12.3. Our total liability to you in respect of all other losses arising under or in connection with these Terms, whether in contract, tort, breach of statutory duty, or otherwise, shall in no circumstances exceed £1, or if liability should be more broadly excluded for a free service to the extent legally permissible.
13. Termination of Membership
13.1. By You: You may terminate your membership at any time by contacting us at contact@cocoo.uk. Upon termination, we will handle your data in accordance with our Privacy Policy and data retention schedule.
13.2. By Cocoo.uk: We may suspend or terminate your membership if:
a. You breach these Terms.
b. You provide false or misleading information.
c. Your actions are deemed detrimental to Cocoo.uk’s objectives or a specific Case.
d. A Case you were registered for concludes or is discontinued.
14. Governing Law and Jurisdiction
14.1. These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
14.2. You irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with these Terms or their subject matter or formation
